In recent times, professional store-closing agents have appeared in the public eye. According to reports, in interviews about the overnight closure of Gymboree early-education training institutions in multiple locations, several parents said that in follow-up communications, a "third party" appeared to carry out online and offline coordination work.

Parents sorted through the situation and found that the other party first carried out low-price promotional recharge activities to attract recharges; then replaced the company's legal representative; and finally, closed down overnight, with a third party taking over communication with the parents. Through a complete store-closing process, the original business owners slipped away; consumers' money was as good as thrown into the water; yet the professional store-closing agents increased their performance and earned commissions.

From the reports, it can be seen that the existence of professional store-closing agents has long been an open secret. By exploiting legal loopholes, they help business owners evade debts and leave countless consumers trapped in difficulties defending their rights. This gray profession not only disrupts the order of the market economy but also harms the business environment of a locality, and it urgently requires attention and governance.

The reason such "store-closing agents" can become a profession and even form a complete industrial chain with a clear division of labor is mainly that they have exploited management loopholes in areas such as prepaid consumption and changes of corporate legal persons.

The entire operating process of "professional store closing" is premised on consumers' prepaid fees. In this regard, the Regulations for the Implementation of the Law on the Protection of Consumers' Rights and Interests, which will take effect in July this year, have established special penalty provisions for prepaid consumption, explicitly clarifying that the relevant administrative departments shall impose penalties. It is believed that with the implementation of laws and regulations, coupled with rigorous enforcement measures, the chaos in prepaid consumption will be effectively curbed.

Furthermore, completing a change of corporate legal person is a key step for merchants to smoothly "close their stores." The reason professional corporate debt bearers can exist lies in the relatively low threshold for registration, management, and review of legal representatives. This was originally intended to simplify the approval process and improve handling efficiency, but it has inadvertently provided convenience for "professional store-closing agents" to find people or misappropriate others' information to bear debts.

To plug this loophole, it is necessary both to increase the intensity of punishment for dishonest persons and to establish fund supervision and information review systems for specific prepaid industries, so as to identify the purpose of corporate legal person changes as early as possible and prevent debtors from withdrawing entirely through such manipulation.

In short, professional store-closing agents profit by shifting risks, leaving consumers to suffer in silence, and become the muddy water in the market. To govern them, root-and-branch measures are needed in order to maintain a sound market environment.
